Historical Note

The Corporate Administrative division of Time Inc. encompasses the positions of chairman of the Board of Directors, chairman of the executive committee, secretary, treasurer, chief executive officer, president, chief financial officer, executive vice president, group vice president, and vice president. Some of these positions are frequently held at the same time by the same person. Group vice presidents are usually the head of a division of Time Inc. such as the Books Group or Video Group, and the records for that position will be with that record group. The editor-in-chief is listed as part of the corporate group management, but their files are in the record group for corporate editorial.

Access Restrictions

Open to qualified researchers with the exception of restricted materials. Restricted materials may include privileged attorney correspondence and contracts and agreements. Materials created within the past 35 years also may be subject to restriction on a case-by-case basis. Materials are stored offsite and advance notice is required for use. Unreformatted audiovisual and digital material in the collection is not accessible.

Use Restrictions

This collection is owned by the New-York Historical Society. Although the N-YHS owns this collection as physical property, the donor specifically retains all copyright and all other proprietary rights which may exist. The copyright law of the United States governs the making of photocopies and protects unpublished materials as well as published materials. Unpublished materials created before January 1, 1978 cannot be quoted in publication without permission of the copyright holder.

The Henry Luce Papers (MS 3014) were acquired with the Time Inc. Records. The collection of books acquired with the records are cataloged as the Time Inc. Reference Library.

Processing Information Note

General Files were processed by Holly Deakyne and Samantha Brown from 2016 to 2018. Brown processed Stock, and Deakyne processed Contract, Corporate, and Corporate Secretary Legal Files; Dead Companies; Five-Year Plans; Notary Seals; Patents; Printing Agreements; Subsidiary Corporate Books; and Time Warner Corporate Structure Books. The original folders were retained when present although some documents were transferred to archival containers in instances of overcrowding or transferred from hanging files. Order was imposed on all series except Dead Companies and Notary Seals. Deakyne created the inventory and other descriptive notes for this series.

Series I.B. General: Contract, Corporate, and Corporate Secretary Legal Files, 1853, 1875, 1888, 1898-1901, 1922-1965. 5 Linear Feet (5 record cartons)

Scope and Contents Note

Contract, Corporate, and Corporate Secretary Legal Files are similar to the subseries Dead Companies, but were not included on the lists found with the transfer of Dead Companies to the Time Inc. Archives. These are a mix of files from defunct companies and old business arrangements made by Time Inc. and include acquisition and sale agreements, articles of incorporation and dissolution, meeting minutes, correspondence, publishing contracts, and title searches. The files come from Arnold Carlson as Controller (or Comptroller), John "Jack" Harvey as Comptroller, Peter Sheppe as Director of Administrative Services (Comptroller department), and Dean Chamberlain (business manager Time-Life International and then Corporate Circulation.) There are notes showing that some records are from the "Contract file"; files sent to Ronnie Biehl for the "Corp file"; and files from the "Corp Sec [Corporate Secretary] Legal file cabinet." Additional and more complete publishing agreements are in the subseries Printing Agreements.

Scope and Contents Note

Dead Companies contains a group of materials accompanied by a transfer list naming the companies included. Records include acquisition and sale agreements, operation agreements, certificates of incorporation and dissolution, articles of merger, correspondence, and other corporate documents. The files come from Charles Bear as Secretary, Barry Zorthian as Vice President, John "Jack" Harvey as Comptroller, and Peter Sheppe as Director of Administrative Services (Comptroller department). There is cross-over of company names with the subseries Subsidiary Corporate Books.

Organized alphabetically with the overview plan at the front.

Scope and Contents Note

Contains Five-Year Plans sent to a small group of corporate officers. Includes an overview and outlines of the strategic plans and plans for Books and Arts Associates, Fortune, Printing Developments Division, Real Estate Division, Selling Areas Marketing Plan (SAMI),  Sports Illustrated,  Time, Time-Life Films, Time-Life Records (music albums), and Time-life Video. Two copies originally belonged to Louis Banks, who was either  Fortune's managing editor or the overall editorial director in 1971. It is not clear who ultimately collected and retained these plans.

Scope and Contents Note

Notary Seals are a collection of seals from defunct Time Inc. affiliates and subsidiaries. The seals were used for embossing. There is cross-over of names with Dead Companies.

Scope and Contents Note

Patents contains records of patents owned by Time Inc. and include patent applications and transfer of patent ownership. These patents were found housed together. Inventions covered include the mailing envelope, ink composition, casein techniques, paper coating, printing machine components and mechanisms, and chrome plating.

Organized chronologically.

Scope and Contents Note

Printing Agreements contains bound agreements that detail the work to be done, the term, plant facilities, and equipment to be used. These agreements were found housed together. The majority of agreements relate to printing Life with one  Fortune printing agreement from 1948. The printers are The Cuneo Press or R. R. Donnelley & Sons Company. Some covers are stamped with "Contract file." Similar, but not as complete, agreements are in the subseries Contract, Corporate, and Corporate Secretary Legal Files.

Series I.H. General: Subsidiary Corporate Books, 1949-1974. 6 Linear Feet (6 record cartons)

Scope and Contents Note

Subsidiary Corporate Books include bound volumes of business records of companies that were acquired by Time Inc. such as printers, paper mills, and radio or television stations. These volumes were housed together. Records include articles of incorporation, by-laws, and meeting minutes. There is cross-over of names with the subseries Dead Companies.
